Terms of Service

1. Acceptance of Terms

By accessing or using RunPaced ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and RunPaced. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Description of Service

RunPaced provides AI-powered race pacing tools for trail and ultra runners. The Service includes:

  • GPX course analysis and parsing
  • Personalized pacing recommendations based on terrain and fitness
  • Aid station timing calculations
  • Multiple pacing scenario comparisons
  • GPX file export for GPS devices
  • Race plan storage and management
  • Post-race performance analysis
  • Integration with Strava and Garmin
  • Race library with pre-loaded courses

3. User Accounts

To access certain features, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access
  • Not share your account with others or create multiple accounts

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Subscription and Billing

4.1 Pricing

  • Free: $0 - 10 activities per month with basic features
  • Pro: $9.99/month or $99.90/year - unlimited activities with advanced features
  • Team: $29.99/month or $299.90/year - everything in Pro plus team features

4.2 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service and authorize the applicable charges.

4.3 Subscription Renewal

Pro and Team subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the current subscription price at the time of renewal. We will notify you of any price changes before your next billing date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access until the end of your current billing period
  • No refund will be provided for the remaining time
  • Your account will revert to free tier features

4.5 Refunds

Refunds may be requested within 7 days of purchase if:

  • You have not substantially used the Service
  • There was a technical issue preventing use
  • You were charged incorrectly

To request a refund, contact support@runpaced.com with your order details.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Upload malicious files, viruses, or harmful code
  • Scrape, harvest, or collect data from the Service without permission
  • Resell, redistribute, or sublicense the Service without authorization
  • Impersonate another person or entity
  • Upload content that infringes intellectual property rights
  • Use automated tools to access the Service (except approved integrations)
  • Attempt to reverse engineer the pacing algorithms

6. User Content

6.1 Your Content

You retain ownership of any GPX files, race data, and other content you upload ("User Content"). By using the Service, you grant us a limited license to:

  • Process your content to provide the Service
  • Store your content securely
  • Display your content to you

6.2 Race Contributions

When you submit a race to our library, you grant us a perpetual, royalty-free license to:

  • Include the race in our public library
  • Make the race available to all users
  • Modify or adapt the submission as needed

You represent that you have the right to submit the race data and that it does not infringe any third-party rights.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by RunPaced and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The RunPaced name, logo, and related marks are trademarks of RunPaced. You may not use our trademarks without prior written permission.

Our pacing algorithms and proprietary methodologies are trade secrets. You may not attempt to reverse engineer, copy, or replicate these systems.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The pacing recommendations will be accurate for your specific circumstances
  • The Service will meet all your requirements
  • Results obtained from the Service will be accurate or reliable

IMPORTANT HEALTH DISCLAIMER: Race pacing recommendations are estimates based on algorithms and historical data. They should not be considered as professional athletic, medical, or health advice. Always use your own judgment during races. Factors such as:

  • Weather conditions (heat, cold, humidity, altitude)
  • Your current health and fitness level
  • Course changes or conditions
  • Nutrition and hydration status
  • Equipment and gear

may significantly affect your actual performance. Consult with a healthcare professional before engaging in ultra-endurance activities.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • RunPaced shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • RunPaced shall not be liable for any damages arising from injury during races or training
  • RunPaced shall not be liable for loss of data, revenue, or profits
  • Our total liability shall not exceed the amount you paid for the Service in the past 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless RunPaced and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

11. Third-Party Services

The Service may integrate with third-party services such as Strava, Garmin, and Stripe. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Violations of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Upon request by law enforcement or government agencies

You may terminate your account at any time through Settings > Privacy > Delete Account. Upon termination, your right to use the Service will immediately cease.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall be resolved through:

  1. Informal Negotiation: Contact us first at support@runpaced.com
  2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration under AAA rules

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes:

  • We will notify you by email at least 30 days before changes take effect
  • We will display a notice in the Service
  • The "Last updated" date will be revised

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service and may request account deletion.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and RunPaced.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
